Online Purchase Terms
PLEASE READ CAREFULLY BEFORE PURCHASING, DOWNLOADING OR ACCESSING OUR SOFTWARE:
All online purchases made through the website at www.dynamicosystems.com (“Website”) are subject to the terms and conditions set out below. This constitutes a contract (“Agreement”) between you and DYNAMICO SYSTEMS LIMITED (“Dynamico Systems”), (“We”, “Us”, “Our”).
Whenever you place an order through our website you are bound by these terms and conditions. These terms and conditions may change from time to time, so ensure you review them before each order, even if you have reviewed them before.
1. GENERAL
You agree to these terms on behalf of the company, or other legal entity, for which you are acting e.g. as an employee or contractor, or if there is no company or legal entity, on behalf of yourself as an individual (either way, “You”). You warrant that you have the right, the authority, and the capacity, to act on behalf of such an entity, if any, and yourself.
Please note that these terms should be read in conjunction with accepting the following terms and agreements:
All of the listed terms and agreements, including these terms, are herein referred to as “Dynamico Agreements”.
2. MAKING AN ORDER
2.1 By clicking “Submit Order” you are placing an order to purchase products, services and/or subscriptions from Dynamico Systems. By doing so, you are confirming that you are at least 18 years of age, and are accepting of the Dynamico Agreements.
2.2 A completed order is subject to subsequent acceptance and fulfilment by Dynamico Systems, irrespective of whether clicking “Submit Order” indicates that it may be the final step in completion of your order.
2.3 You will receive an order confirmation once your order has been accepted. Note that such automatic confirmation/acceptance does not constitute a formal acceptance of your order. We may cancel your order, or any renewal, at any time and for any reason. If this is the case, we will deactivate the applicable license keys and refund any prior payment that you have made for the products, services or subscriptions.
2.4 If we are unable to process payment using the payment method you provided while making your order, or if we have reason to believe one of the following:
- You are in breach of any of the Dynamico Agreements, or by virtue of applicable law, or otherwise;
- You have engaged in fraud or criminal activity in connection with your use of any of our products, services or subscriptions;
then, without prejudice to any of our other rights, we may, at our discretion, do any or all of the following:
- stop any products, services or subscriptions being fulfilled to you;
- stop or suspend ongoing access to products, services or subscriptions;
- cancel any automatic renewal plan in which you have elected to participate.
3. YOUR ACCOUNT
3.1 To make a purchase from our Website, you may need to create an account. You are responsible for the compliance of the Dynamico Agreements for those who access, or obtains access to, your account; and anyone who or uses our products, services or subscriptions through a purchase made from your account.
3.2 You are responsible for the security of your account and all activity that is associated with your account. You must ensure that you will secure and not share usernames and passwords (aside from with authorised administrators). If you suspect unauthorised use of your account, please contact us via. the Contact Us section of our Website.
3.3 You will ensure that all information in your account is, and continues to be, true and complete.
3.4 For subscriptions with a minimum term, you will ensure that for the minimum term, a valid payment method with sufficient funds is available in your account for the renewal dates of all subscription orders in your account. Dynamico Systems will not be held liable for any fees associated with failed payments for subscription renewals, both within or outside of the minimum term of your order.
4. SUBSCRIPTIONS
4.1 All of our software is licensed on a subscription basis. So long as a subscription is active, all purchases, excluding free trials, will include as standard:
- Technical support via email, telephone or screen sharing
- Access to software updates
4.2 When making a purchase on our website for a subscription, by clicking “Submit Order” and completing the purchase, you expressly request and authorise Dynamico Systems to automatically renew your subscription for successive renewal terms each equal in length to the initial term (“Duration”) purchased by you, at the purchase price for your initial term (unless Dynamico Systems notifies you of a price change), using the payment information you provided for your initial purchase, until the subscription is cancelled.
For Example:
If the software is subscribed to for a 3-year initial term (Duration) at a cost of £𝑥 /year; after each year, the automatic renewal process will charge the payment card £𝑥. The first automatic renewal after the 3-year term will re-start the 3-year minimum term at the same £𝑥 /year.
4.3 When placing an order, the ‘Duration’ selected on the order denotes the minimum duration that you agree to keep the subscription active for. For example, by selecting ‘3 Years’ as the duration, you are agreeing to pay the first subscription payment for year 1, and then to renew the yearly subscription twice (for year 2 and year 3).
4.4 All purchased subscriptions will automatically renew at the end of the minimum duration that the subscription was purchased for. Automatic renewal after the minimum duration can be changed to manual renewal by contacting us via the Contact Us section of our Website.
4.5 The option for early subscription renewal is available in the ‘Subscriptions’ tab of the My Account section of our Website. If this option is not available for your subscription, please contact us via the Contact Us section of our Website.
4.6 Upon completing an order, the license key to activate the product will be automatically generated and can be found in the Orders tab of the My Account section of our Website, and in the confirmation email. For orders with multiple quantities of a single product, only a single license key will be generated, however, this license key will allow for a number of activations, up to the quantity purchased in your order. If you are unable to find your license key, please contact us via the Contact Us section of our Website.
4.7 We may change the renewal price of your subscription as of the next renewal date, after the minimum term, and we will provide you with prior notice if we do so.
5. REFUNDS AND CANCELLATION
5.1 To receive a full refund for a purchase, you must inform us within 14 days of the initial purchase or within 14 days of the first renewal after the minimum term. This refund policy only applies to software subscriptions purchased through our Website.
5.2 To request a refund, please contact us via the Contact Us section of our Website. Once the refund request has been approved and processed by us, typically within 5-10 working days, the refund will be issued to the original payment method. Upon approval of a refund request, all license keys associated with the order will be revoked.
5.3 An active subscription can be cancelled from the Subscriptions tab of the My Account section of our Website. The option to cancel will only be available once the payments for the full minimum term have been made. If the option to cancel is not available after payments for the full minimum term have been made, please contact us via the Contact Us section of our Website.
